These Terms govern the use of the BaseCare platform, infrastructure, workforce automation systems, support services, and healthcare operational tools provided by BaseCare Inc.
By accessing, browsing, registering for, or using the BaseCare platform, you acknowledge that you have read, understood, and agreed to these Terms of Service and all applicable operational policies.
These Terms of Service (“Terms”) constitute a legally binding agreement between BaseCare Healthcare Inc. (“BaseCare”, “we”, “our”, or “us”) and any organization, healthcare facility, agency, employee, contractor, or authorized user accessing the Services.
By accessing or using the platform, you confirm that you are authorized to enter into this agreement on behalf of yourself or the organization you represent.
BaseCare provides workforce management and healthcare operational software designed for long-term care homes, staffing agencies, disability support organizations, and healthcare employers.
Users must provide accurate and complete information when creating or managing platform accounts. Organizations are responsible for ensuring that employee access permissions remain current and appropriate.
BaseCare reserves the right to suspend or restrict accounts that contain inaccurate information, unauthorized access activity, or violations of these Terms.
Users agree to use the platform responsibly, lawfully, and in accordance with all healthcare operational standards and applicable regulations.
BaseCare may process operational, staffing, scheduling, and healthcare-related information necessary to provide platform functionality and support services.
Data handling practices are governed by our Privacy Policy and are designed to support healthcare privacy expectations, including PHIPA-aligned operational safeguards where applicable.
Organizations remain responsible for ensuring they have appropriate authority and consent to upload or manage employee and operational data within the platform.
BaseCare maintains commercially reasonable safeguards intended to protect platform systems and operational data from unauthorized access, misuse, or disclosure.
Users are responsible for protecting account credentials and reporting suspected unauthorized activity immediately.
Certain Services may require paid subscriptions, implementation fees, onboarding charges, or enterprise licensing agreements.
Organizations agree to pay all applicable fees associated with their selected service plans. Failure to maintain payment obligations may result in service restrictions or suspension.
While BaseCare aims to maintain high platform availability and operational reliability, uninterrupted access cannot be guaranteed at all times.
Scheduled maintenance, infrastructure upgrades, security events, or third-party service interruptions may temporarily affect platform access.
All software, infrastructure, branding, platform interfaces, documentation, workflows, and related materials remain the exclusive property of BaseCare Inc.
Users may not reproduce, reverse engineer, distribute, or exploit any portion of the platform without prior written authorization.
BaseCare reserves the right to suspend or terminate access to the Services in cases involving security risks, unlawful activity, misuse of the platform, non-payment, or violations of these Terms.
Organizations may discontinue use of the Services in accordance with applicable subscription agreements and contractual obligations.
To the maximum extent permitted by law, BaseCare Healthcare Inc. shall not be liable for indirect, incidental, special, consequential, or punitive damages, including operational disruptions, data loss, revenue loss, or business interruption.
Services are provided on an “as available” basis without warranties of uninterrupted availability or error-free operation.
These Terms shall be governed by and interpreted in accordance with the laws of the Province of Ontario and the applicable laws of Canada.
Any disputes arising from these Terms or the use of the Services shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.
